VISI "2009 Fringey Web Trailer Contest" OFFICIAL RULES:

The Official Contest Rules below set forth the regulations and rules of the 2009 Fringey Web Trailer Contest (the "Contest"). By entering this Contest, you agree to be bound by these Rules. If you do not agree with the rules that follow, please do not enter the Contest. It's our hope that all Minnesota Fringe Festival performers submit a video; the goal is to use online video to introduce the Minnesota Fringe performers to a broader audience and facilitate the largest possible audience for 2009 Minnesota Fringe shows.

Eligibility: This contest is open to any of the performing groups selected to participate in the 2009 Minnesota Fringe Festival. Sponsor: VISI Incorporated ("VISI") 10290 West 70th Street, Eden Prairie, MN 55344. Employees of VISI, the agencies serving VISI and their immediate family members and those living in their household, and any person or entity connected with the administration of this Fringey contest, are not eligible. This Contest is subject to all applicable federal, state, and local laws and regulations. NO PURCHASE NECCESARY TO ENTER OR WIN.

How to Enter: Each contestant is allowed to submit one 60 second video trailer that will serve as a preview/teaser for their July-August Minnesota Fringe Festival show. The trailer may contain segments from the upcoming show, or it may not. We encourage performers to be as original and entertaining as they wish. The goal of each entry: get a larger audience to each Minnesota Fringe Festival show.

Entry Period: You can enter the contest beginning at 12:01 AM (Central Time) on July 1st, 2009 and ending at 11:59 PM (Central Time) on July 20th, 2009. VISI shall have no liability or responsibility for any technical malfunction or failure of any Internet or network connection, regardless of cause, which prevents or materially adversely affects the participant’s ability to submit an entry in a timely matter. All entries submitted after the July 20th deadline may be disqualified.

Restrictions on Video Content: Entries in the Contest shall not include any nudity, pornography (we'll know it when we see it) or images which are unlawful, obscene, hateful or racially, ethnically or otherwise objectionable. VISI retains the right to remove any video from the Fringey site that it deems objectionable or otherwise inappropriate. The Fringeys welcome provocative video trailers, but the videos must be appropriate for posting to YouTube. If, in the sole discretion of the VISI, a submission constitutes copyright infringement or a violation of a third party right or violation of any law, the submission will be disqualified.

Entries Property of VISI and Minnesota Fringe: As a condition of entering this contest, every Fringe Festival performer or group which enters a video trailer grants VISI and the Minnesota Fringe a perpetual, irrevocable, royalty free, non-exclusive, worldwide right and license to use, copy, distribute, display and utilize the video submitted as an entry in the contest for promotional and other purposes. This includes, but is not limited to, using your Fringey trailer on Web sites, in blog postings, on Facebook, MySpace and other social media sites, at public events, and otherwise distributing/sharing your video with the public.

Pledge of Originality: By submitting your video trailer to the Contest, you agree that your video is an original product which has never been previously broadcast, posted or published, and must have been created and owned exclusively by the performer or performers submitting the video. By submitting your entry in the Contest, you represent and warrant that you have obtained any and all consents, approvals or licenses required for you to submit your entry and comply with all of these rules, including obtaining the consent of persons appearing in your video submission. You waive any and all claims of infringement (including without limitation copyright, trademark, trade name) or breach of privacy or publicity against VISI and the Minnesota Fringe based upon access to or use of your video entry.

Judging of Videos: The three Fringey Web trailer judges will select the winning videos based on such criteria as VISI determines to be appropriate including, but not limited to:, originality and creativity, how effectively the trailer promotes the entrance's Minnesota Fringe performance and adherence to these submission guidelines. The online votes will be combined to count as a fourth judge (or 25% of the total). The decision of the Fringey judges is final.

Notification of Winners: Semi-final winners will be notified by email and/or telephone on or about July 28, 2009. Grand prize winner will be announced at a party on the last night of the Minnesota Fringe Festival, August 9, 2009.

Miscellaneous. By participating, entrants agree to be bound by these Official Rules and the determinations of the VISI, which shall be final. Unless prohibited by law, entrants agree to allow use of their name, voice, city/state of residence, photograph, and/or likeness for advertising and/or trade and/or any other purpose in any media or format now or hereafter known without further compensation, permission or notification.

BY PARTICIPATING, ENTRANTS RELEASE AND HOLD HARMLESS VISI (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, LICENSEES, REPRESENTATIVES AND AGENTS), THE FRINGERY JUDGES AND THE MINNESOTA FRINGE FROM ANY AND ALL LIABILITY OR LOSS OF ENTRANT OR ANY OTHER PERSON, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM PARTICIPATIN IN THIS CONTEST OR BY REASON OF THE ACCEPTANCE, POSSESSION OR USE OF A PRIZE.

VISI is not responsible for lost entries; errors in these Official Rules or in any Contest-related advertisements or other materials. VISI is not responsible for any typographical or other error in promotion materials, the administration of the promotion of the Contest or in the announcement of prizes or prize winners, or for lost, late, damaged, misdirected, illegible, incomplete or postage-due mail, entries or prize claims. VISI reserves the right, in its sole discretion, to disqualify and/or an entrant who VISI believes has attempted to tamper with or impair the administration, security, fairness, or proper play of this Contest. Contest (and these Official Rules) shall be governed and enforced pursuant to Minnesota law, excluding choice of law provisions.

Prizes: VISI shall award one grand prize for the winning entry selected by the Fringey judges (who will base their selection, in part, on public voting), The grand prize winner will receive $500 in cash along with a year's of Web hosting service ($240 retail value) from VISI. Two runner-up finalists will receive a year's worth of web hosting service ($240 retail value) from VISI. Prizes will be awarded within approximately sixty (60) days of notification. Any federal, state or local taxes or other expenses in connection with the prize not expressly described herein as being awarded are the sole responsibility of the prize winners. The odds of winning are based on number of entries.

Force Majeure: In the event that VISI or the Minnesota Fringe is prevented from continuing the Fringey contest, the sponsor will have the right, in its sole discretion, to abbreviate, modify, suspend or terminate the promotion without further obligation or liability to you.
